    These Terms of Service govern your use of JusticeSure's AI-powered legal and business management platform. Please read them carefully before using our services.

    1. Acceptance of Terms

    These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Justicesure Technology Ltd ("JusticeSure," "we," "us," or "our"), a company incorporated under the laws of the Federal Republic of Nigeria.

    By creating an account, accessing, or using the JusticeSure platform, website, mobile applications, WhatsApp integration, Business Suite, or any related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations.

    Where you are accessing the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case "you" shall refer to that entity.

    2. Eligibility

    To use the Platform, you must:

    • Be at least 18 years of age
    • Have the legal capacity to enter into binding contracts
    • Not be prohibited from using the Platform under Nigerian law or any other applicable jurisdiction including Ghana and Kenya
    • Provide accurate, current, and complete information during registration
    • For lawyers: Hold a valid practicing license from the Nigerian Bar Association, Ghana Bar Association, Law Society of Kenya, or equivalent authority
    • For auditors: Hold a valid practicing certificate from the Institute of Chartered Accountants of Nigeria (ICAN), Association of Certified Chartered Accountants (ACCA), Institute of Chartered Accountants (Ghana), Institute of Certified Public Accountants of Kenya (ICPAK), or equivalent recognized body
    • For organizations: Have authority to bind the organization to these Terms
    • For businesses: Be a legitimately registered business entity or sole trader operating lawfully in your jurisdiction

    3. Description of Services

    3.1 Legal Platform Services

    JusticeSure provides:

    • AI-Powered Legal Guidance: Automated responses to legal questions using artificial intelligence technology across Nigerian, Ghanaian, and Kenyan law
    • Document Generation: Creation of legal documents using templates and AI assistance
    • Lawyer Matching: Connection with qualified lawyers for consultations and legal services
    • Practice Management: Tools for lawyers and law firms to manage their practice
    • Organization Member Benefits: Legal benefit programs for organizations and their members

    3.2 Business Suite Services

    The JusticeSure Business Suite provides tools for business management, including but not limited to:

    • Invoicing & Receivables (Get Paid): Invoice creation, delivery, tracking, and payment management including recurring invoices, proforma invoices, delivery notes, and payment reminders
    • Point of Sale (POS) & Storefront: In-person and online sales management with inventory integration
    • Inventory Management: Product cataloguing, stock tracking across multiple locations, variant management, and production job tracking
    • Expense Management: Business expense recording, categorization, vendor management, and spend analytics
    • HR & People Management: Employee records, payroll processing, leave management, timesheets, performance tracking, and HR document generation
    • Tax Compliance: VAT computation, PAYE, withholding tax, pension contributions, and tax dashboard tools for Nigerian, Ghanaian, and Kenyan businesses
    • Accounting & Reconciliation: Bank reconciliation, financial reporting, and accounting ledger tools
    • Business Valuation Engine: AI-assisted business valuation for informational purposes
    • AI Business Co-Pilot: Conversational AI assistance for business queries, operational guidance, and platform navigation
    • Auditor Access Portal: Controlled third-party access for designated auditors and external accountants
    • Legal Business Settings: Business compliance documentation, legal terms management, and CAC-related tools

    3.3 AI Limitations

    AI-Generated Content Limitations — Both Legal and Business

    • • AI responses are based on general principles and may not account for your specific circumstances, jurisdiction variations, or recent legislative changes
    • • AI cannot provide advice on pending litigation or represent you in court
    • • AI-generated tax computations, payroll figures, and financial analyses are estimates only and must be reviewed by a qualified professional before submission to any regulatory authority
    • • AI-generated business valuations are for illustrative purposes only and do not constitute certified valuations for investment, sale, or regulatory purposes
    • • AI may occasionally produce inaccurate, incomplete, or outdated information
    • • Using AI features does not create an attorney-client, accountant-client, or any other professional relationship with JusticeSure

    3.4 Attorney-Client Relationship

    An attorney-client relationship is established ONLY when you engage a specific lawyer through our Platform for defined legal services, and that lawyer accepts the engagement. The attorney-client relationship is between you and the individual lawyer, NOT between you and JusticeSure.

    3.5 No Accounting or Auditing Relationship

    JusticeSure is a software platform. No accountant-client, auditor-client, or any other professional services relationship is created between you and JusticeSure by virtue of using the Business Suite or any tools therein. Auditors who access your business data through our platform are independent professionals engaged by you and are not agents or employees of JusticeSure.

    3.6 Jurisdictional Availability

    The Platform currently serves users in Nigeria, Ghana, and Kenya. Certain features may only be available in specific jurisdictions. Tax compliance tools are configured for the laws of the respective jurisdiction and may not reflect laws of other countries. We make no representation that the Platform is available or appropriate for use in any other jurisdiction.

    4. Account Registration and Security

    You agree to:

    • Provide accurate, current, and complete registration information
    • Maintain and promptly update your account information
    • Maintain the security and confidentiality of your login credentials
    • Immediately notify us of any unauthorized access to your account at security@justicesure.com
    • Accept responsibility for all activities that occur under your account
    • Not share your account or credentials with any third party (except through our official team access features)

    For business accounts with team members: you are responsible for all team members you add to your account, their actions on the Platform, and ensuring they comply with these Terms. Removing a team member from your account does not retroactively undo actions they took while active.

    We reserve the right to suspend or terminate accounts that contain false information, are used for fraudulent purposes, or violate these Terms.

    5. User Types and Specific Terms

    5.1 Individual Clients

    Individual clients using the Platform for personal legal needs agree to provide accurate information about their legal matters and understand that AI guidance is informational only.

    5.2 Lawyers and Legal Professionals

    Lawyers agree to:

    • Maintain valid professional licenses and credentials in good standing
    • Comply with all applicable rules of professional conduct in their jurisdiction
    • Provide competent legal services to clients
    • Maintain confidentiality of client information
    • Not misrepresent qualifications, experience, or practice areas
    • Comply with JusticeSure's Lawyer Code of Conduct

    5.3 Law Firms

    Law firms are responsible for ensuring all lawyers using the Platform under their account comply with these Terms and professional obligations.

    5.4 Businesses

    Businesses using the Business Suite agree to:

    • Use the Platform lawfully and only for legitimate business purposes
    • Enter accurate financial, inventory, payroll, and employee data
    • Obtain all necessary consents from employees before processing their personal data on the Platform
    • Comply with applicable labour laws, tax laws, and data protection regulations
    • Not use the Platform to process proceeds of crime, evade taxes, or engage in any fraudulent financial activity
    • Ensure that any auditors or third parties granted access to their account are duly authorized and bound by appropriate confidentiality obligations
    • Take full responsibility for all financial, tax, and compliance decisions taken on the basis of Platform-generated information

    5.5 Auditors and External Accountants

    Auditors and external accountants accessing business accounts through the Auditor Access Portal agree to:

    • Hold a valid and current professional certification from a recognized accountancy or auditing body
    • Access only the data explicitly authorized by the business account owner
    • Use data accessed solely for the purpose of performing professional services for that business
    • Maintain strict confidentiality over all business data accessed through the Platform
    • Not download, copy, or export data beyond what is strictly necessary for the engagement
    • Comply with all professional standards of independence, objectivity, and confidentiality applicable to their profession
    • Not share access credentials with any other person
    • Notify both the business and JusticeSure immediately upon discovering any actual or suspected data breach

    Important: Auditor Independence

    JusticeSure does not verify the independence, professional standing, or suitability of any auditor for a particular engagement. Businesses are solely responsible for selecting appropriately qualified and independent professionals. JusticeSure shall have no liability for the acts, omissions, or professional conduct of any auditor granted access to a business account.

    5.6 Organizations

    Organization accounts must be created by authorized representatives with power to bind the entity to these Terms. Organizations using the Platform to administer member benefit programs are responsible for managing their members' access and for communicating these Terms to members.

    6. Business Suite — Specific Terms and Limitations

    6.1 Financial Data Accuracy

    JusticeSure provides tools to help you record, organize, and analyze your business financial data. However:

    • You are solely responsible for the accuracy and completeness of all data entered into the Platform
    • JusticeSure does not independently verify any financial data entered by users
    • Tax computations generated by the Platform are estimates based on the information provided and prevailing rates at the time — they are not formal tax assessments and must be reviewed by a qualified tax professional before filing with FIRS, GRA, KRA, or any other revenue authority
    • Payroll computations are based on rates and rules programmed into the Platform — you must verify these against your specific employment contracts, collective agreements, and current statutory rates
    • JusticeSure shall have no liability for any penalties, interest, assessments, or other consequences arising from inaccurate tax filings, payroll errors, or regulatory non-compliance, even if such errors arise from information generated by the Platform

    6.2 Employee Data

    When you use the HR module to process employee personal data (including names, BVN, NIN, salary information, performance records, and attendance data):

    • You are the Data Controller for your employees' personal data; JusticeSure acts as a Data Processor on your behalf
    • You must have a lawful basis for processing employee data (including relevant employment agreements and consent where required)
    • You must inform your employees that their data is being processed on the JusticeSure platform and obtain any required consents
    • You must ensure compliance with the Nigeria Data Protection Act 2023 (NDPA), Ghana Data Protection Act 2012, Kenya Data Protection Act 2019, and any other applicable data protection legislation
    • You must not enter employee data that you are not legally entitled to process
    • Upon termination of your account or an employee's records, you are responsible for ensuring all necessary data is exported before deletion

    6.3 Inventory and Stock Data

    Inventory stock levels, valuations, and reports generated by the Platform reflect only the data entered by you or your team. JusticeSure does not conduct physical stock counts. Discrepancies between Platform records and actual physical stock are your responsibility to investigate and correct.

    6.4 Multi-Location Operations

    Businesses operating across multiple locations remain responsible for allocating stock, assigning staff, and configuring location-specific settings appropriately. JusticeSure shall not be liable for business losses arising from misconfiguration of multi-location features.

    6.5 Referral Programme

    The JusticeSure Referral Programme (Refer and Earn) allows users to earn referral credits or commissions for referring new paying subscribers. Referral credits: (a) have no cash value except where explicitly redeemable; (b) may be used only for Platform subscription fees; (c) may be modified, suspended, or terminated by JusticeSure at any time with 30 days' notice to active participants; (d) are forfeited on account termination; and (e) are subject to anti-fraud verification. Abuse of the referral programme, including self-referrals, fake accounts, or misrepresentation, will result in forfeiture of all referral balances and account termination.

    6.6 Bank Reconciliation and External Financial Data

    Where you connect bank accounts or import financial data from third-party sources, the accuracy of that data depends on those third-party providers. JusticeSure is not responsible for incomplete, delayed, or inaccurate data received from connected financial institutions or third-party integrations.

    7. Payments, Billing, and Subscriptions

    7.1 Pricing and Currencies

    Fees for Platform services are displayed before purchase in your selected currency (NGN, USD, GBP, GHS, KES, or EUR). Exchange rates are approximate and the final charge will be processed in the selected currency at current rates.

    7.2 Subscription Plans

    • Free Plans: Limited access to Platform features at no cost
    • Paid Plans: Monthly or annual subscriptions with enhanced features
    • Free Trial: Trial periods available on paid plans (one trial per account)
    • Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date

    7.3 Payment Processing

    Payments are processed securely by our third-party payment providers (Paystack, Flutterwave, Stripe). By providing payment information, you authorize us to charge the applicable fees to your payment method.

    7.4 Refund Policy

    • Subscription fees are generally non-refundable except as required by law
    • Free trial periods do not result in charges if cancelled before trial expiration
    • Refund requests for exceptional circumstances may be submitted to support@justicesure.com
    • Lawyer consultation fees are subject to the individual lawyer's refund policy
    • Referral credits are not redeemable for cash

    7.5 Cancellation

    You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of the billing period. Following cancellation, you retain read-only access to your data for 90 days, after which data may be deleted in accordance with our data retention policy.

    7.6 Failed Payments and Suspension

    If a payment fails, we will attempt to notify you and retry the charge. If payment remains unsuccessful after reasonable attempts, we may suspend or downgrade your account. You remain responsible for all fees accrued prior to suspension.

    8. Acceptable Use Policy

    You agree NOT to use the Platform to:

    • Engage in any unlawful purpose or to promote illegal activities
    • Impersonate any person or entity or misrepresent your affiliation
    • Upload or transmit viruses, malware, or other harmful code
    • Attempt to gain unauthorized access to our systems or other users' accounts
    • Interfere with or disrupt the Platform's operation or security
    • Scrape, harvest, or collect user data without authorization
    • Use automated systems or bots to access the Platform without permission
    • Circumvent or attempt to circumvent usage limits or access controls
    • Process, record, or conceal proceeds of crime, fraud, or money laundering
    • Generate fictitious invoices, transactions, employees, or financial records
    • Manipulate inventory records to defraud partners, investors, or regulators
    • Grant auditor access to a person without the business owner's proper authorization
    • Use the Platform to harass, threaten, or defame others
    • Violate any applicable law, regulation, or third-party rights
    • Abuse the referral programme through self-referrals, fake accounts, or misrepresentation

    9. Intellectual Property Rights

    9.1 JusticeSure's Intellectual Property

    The Platform, including its software, design, logos, trademarks, and content (excluding User Content), is owned by JusticeSure and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Platform without our written permission.

    9.2 Your Content and Data

    You retain full ownership of all content, data, documents, and records you submit to or generate through the Platform ("User Content"), including business data, employee records, financial data, and documents. By submitting User Content, you grant JusticeSure a limited, non-exclusive, non-transferable, royalty-free license to host, process, store, and transmit your content solely as necessary to provide and improve our services. We do not acquire any ownership rights in your data.

    9.3 AI-Generated Content

    Documents, reports, and content generated by our AI tools based on your inputs become your property upon generation. However, JusticeSure retains rights to the underlying templates, algorithms, training, and AI technology used to generate such content.

    9.4 Feedback

    If you provide feedback or suggestions about the Platform, you grant JusticeSure an irrevocable, perpetual, royalty-free right to use and incorporate that feedback without obligation or compensation to you.

    10. Confidentiality

    JusticeSure implements appropriate measures to protect the confidentiality of your information:

    • Communications between you and lawyers through the Platform are protected by attorney-client privilege as between you and that lawyer
    • JusticeSure does not access the substance of privileged communications without authorization
    • Business financial data, employee records, and operational data are kept confidential and not shared without your consent, except as described in our Privacy Policy
    • Auditor access is logged and auditable by the business account owner
    • JusticeSure staff access to business data is restricted on a need-to-know basis and is subject to confidentiality obligations
    • Aggregate, anonymized data may be used to improve services and for statistical purposes

    11. Third-Party Services and Integrations

    The Platform integrates with third-party services including payment processors (Paystack, Flutterwave, Stripe), AI providers (OpenAI, Perplexity), communication services (SendGrid, Africa's Talking, WhatsApp Business API), banking data providers (Mono), cloud storage, and others. By using features that rely on these integrations:

    • You agree to be bound by the applicable third-party terms of service and privacy policies
    • JusticeSure is not responsible for the availability, accuracy, or security practices of third-party services
    • You acknowledge that third-party services may collect and process your data subject to their own policies
    • Disruption of any third-party service may affect Platform functionality, and JusticeSure shall have no liability for such disruptions

    12. Disclaimers

    WARRANTY DISCLAIMER

    THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. JUSTICESURE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

    Specifically, JusticeSure makes no warranty that:

    • AI-generated legal, financial, tax, payroll, or business content is accurate, complete, or suitable for your specific needs
    • Tax computations, VAT estimates, PAYE figures, or pension calculations comply with all applicable laws and regulations
    • Business valuations reflect the true market or intrinsic value of any business
    • The Platform will meet all your requirements or expectations
    • Any legal outcome or regulatory approval will result from using our services
    • Data imported from banks or third-party sources is accurate or complete
    • Third-party services integrated with the Platform will perform satisfactorily
    • The Platform is free from bugs that could affect financial calculations or data integrity

    13. Limitation of Liability

    LIABILITY CAP

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUSTICESURE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO JUSTICESURE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED THOUSAND NAIRA (₦100,000) OR ITS EQUIVALENT IN YOUR LOCAL CURRENCY.

    IN NO EVENT SHALL JUSTICESURE BE LIABLE FOR ANY:

    • Indirect, incidental, special, consequential, or punitive damages
    • Loss of profits, revenue, data, goodwill, or business opportunities
    • Damages arising from reliance on AI-generated legal, financial, tax, or business content
    • Tax penalties, interest, or surcharges arising from errors in Platform-generated computations
    • Employment liabilities arising from HR or payroll management decisions made using the Platform
    • Actions or omissions of lawyers, auditors, or other professionals engaged through or given access via the Platform
    • Third-party claims against you
    • Service interruptions, data loss, or corruption
    • Unauthorized access to your account by a third party that results from your failure to secure your credentials
    • Losses arising from access granted to auditors or team members you authorized

    Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above limitations may not apply to you to the fullest extent.

    14. Indemnification

    You agree to indemnify, defend, and hold harmless JusticeSure, its officers, directors, employees, agents, shareholders, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to:

    • Your use of the Platform
    • Your violation of these Terms or any applicable law
    • Your violation of any third-party rights
    • Your User Content
    • Any dispute between you and a lawyer, auditor, or other professional engaged through or given access via the Platform
    • Regulatory actions against your business arising from financial data, tax filings, payroll records, or other business operations managed using the Platform
    • Your failure to obtain required consents from employees for processing their personal data
    • Unauthorized access to your account resulting from your negligence

    15. Modifications to Services and Terms

    15.1 Service Modifications

    We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time. We will endeavor to provide reasonable notice for material changes that affect paid services. Tax rates, statutory thresholds, and regulatory parameters within the Platform will be updated from time to time to reflect legislative changes — we cannot guarantee that these will always reflect the most current rates and recommend that you verify against official sources.

    15.2 Terms Modifications

    We may update these Terms from time to time. We will notify you of material changes by email or through the Platform at least 30 days before the changes take effect for existing users. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and may close your account.

    16. Termination

    16.1 Termination by You

    You may terminate your account at any time by contacting us or using the account closure feature in your settings. Prior to closure, you should export all data you wish to retain.

    16.2 Termination by JusticeSure

    We may suspend or terminate your access to the Platform immediately and without notice if:

    • You breach these Terms or any applicable policy
    • You engage in fraudulent, illegal, or abusive activities
    • We receive a lawful direction from a regulatory or law enforcement authority
    • Your account remains inactive for an extended period (we will provide prior notice where practicable)
    • Payment for a paid subscription remains overdue after multiple notifications

    16.3 Effect of Termination

    Upon termination: (a) your right to access the Platform ceases immediately; (b) all outstanding fees become immediately due and payable; (c) we will retain your data for the period specified in our Privacy Policy or as required by law; (d) provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

    17. Dispute Resolution

    17.1 Informal Resolution

    In the event of any dispute, you agree to first contact us at legal@justicesure.com to attempt informal resolution. We will work in good faith to resolve the dispute within 30 days.

    17.2 Binding Arbitration

    BINDING ARBITRATION NOTICE

    If informal resolution fails, both parties agree to submit the dispute to binding arbitration under the Arbitration and Conciliation Act 2023 (Nigeria). Arbitration shall be conducted by a single arbitrator agreed upon by both parties, or failing agreement, appointed by the Lagos Court of Arbitration. The seat of arbitration shall be Lagos, Nigeria, and proceedings shall be conducted in English. The arbitrator's decision shall be final and binding.

    17.3 Class Action Waiver

    ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION AGAINST JUSTICESURE.

    17.4 Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law provisions. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

    18. General Provisions

    18.1 Entire Agreement

    These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and JusticeSure regarding your use of the Platform and supersede all prior agreements, understandings, and representations.

    18.2 Severability

    If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

    18.3 Waiver

    Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

    18.4 Assignment

    You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, corporate restructuring, or sale of assets.

    18.5 Force Majeure

    JusticeSure shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, power failures, or failures of telecommunications or internet services.
