Lawyer Service Agreement

1. Introduction and Scope

This Lawyer Service Agreement ("Agreement") is entered into between Justicesure Technology Ltd ("JusticeSure," "Platform," "we," "us," or "our"), a company incorporated under the laws of the Federal Republic of Nigeria, and you, a licensed legal professional ("Lawyer," "Legal Professional," "you," or "your").

This Agreement supplements and operates in conjunction with the JusticeSure Terms of Service and Privacy Policy. In the event of any conflict between this Agreement and the general Terms of Service, this Agreement shall prevail with respect to your activities as a legal service provider on the Platform.

By completing registration as a lawyer on JusticeSure, you confirm that you have read, understood, and agree to be bound by this Agreement in its entirety.

2. Eligibility and Verification Requirements

2.1 Mandatory Requirements

To register and maintain an active account as a lawyer on JusticeSure, you must:

• Hold a valid Bachelor of Laws (LL.B) degree from an accredited institution
• Have successfully completed the Nigerian Law School and hold a valid Barrister-at-Law (B.L.) qualification
• Be a member in good standing of the Nigerian Bar Association (NBA)
• Hold a current, valid Practicing License (Stamp and Seal)
• Have no pending disciplinary proceedings or sanctions from the Legal Practitioners Disciplinary Committee (LPDC)
• Maintain adequate professional indemnity insurance coverage
• Be at least 21 years of age

2.2 Required Documentation

You must provide the following documents during registration:

• Bar Certificate: Official certificate of admission to the Nigerian Bar
• Government-issued ID: Valid passport, national ID card, or driver's license
• Academic Credentials: LL.B degree certificate and B.L. certificate
• Current Practicing License: Valid stamp and seal for the current year
• Professional References: At least two references from senior colleagues
• Professional Photo: Recent passport-sized photograph for profile verification

2.3 Verification Process

JusticeSure conducts comprehensive verification of all lawyer applications, including:

• Cross-referencing credentials with the Nigerian Bar Association records
• Verification of academic qualifications with issuing institutions
• Background checks for disciplinary history
• Reference verification
• Identity verification using government databases

3. Professional Obligations

3.1 Legal and Ethical Standards

As a lawyer on JusticeSure, you agree to:

• Comply fully with the Rules of Professional Conduct for Legal Practitioners in Nigeria
• Maintain client confidentiality in accordance with solicitor-client privilege
• Avoid conflicts of interest and disclose any potential conflicts immediately
• Provide competent legal services within your areas of expertise
• Act with honesty, integrity, and in the best interests of your clients
• Maintain accurate time records for all billable activities
• Respond to client communications within 24-48 hours

3.2 Platform-Specific Requirements

• Complete your profile accurately and keep it updated
• Clearly specify your practice areas, qualifications, and experience
• Set realistic response times and availability
• Use the Platform's secure communication channels for client interactions
• Maintain a professional profile photo and bio
• Complete required continuing legal education (CLE) modules

3.3 Client Engagement Standards

• Provide clear engagement letters for all client matters
• Explain legal concepts in plain, understandable language
• Set realistic expectations about outcomes and timelines
• Document all client instructions and advice given
• Maintain proper client file management within the Platform

4. Compensation, Fees, and Payment Terms

4.1 Fee Setting

You are responsible for setting your own professional fees, subject to the following:

• Fees must be fair, reasonable, and compliant with NBA guidelines
• Fees must be clearly communicated to clients before engagement
• You may offer fixed fees, hourly rates, or contingency arrangements as permitted by law
• Any changes to fee structures must be communicated in advance

4.2 Platform Commission

JusticeSure operates on a commission-based model:

• Standard Commission: 15% of all fees collected through the Platform
• Premium Lawyers: Reduced commission rates may apply based on performance metrics
• Consultation Fees: 10% commission on initial consultation bookings
• Subscription Benefits: Lawyers with Pro subscriptions may enjoy reduced commission rates

4.3 Payment Processing

• Client payments are processed through JusticeSure's secure payment partners (Paystack, Flutterwave)
• Funds are held in escrow until services are confirmed delivered
• Payouts are processed weekly to your designated bank account
• A minimum payout threshold of ₦10,000 applies
• You are responsible for your own tax obligations on earnings

4.4 Client Trust Accounting

For matters requiring trust fund management, you must:

• Maintain separate client trust accounts in compliance with NBA regulations
• Provide accurate records of all trust transactions
• Never commingle client funds with personal or business accounts
• Use the Platform's trust accounting features for transparency

5. Professional Conduct and Ethics

JusticeSure monitors lawyer performance through:

• Client satisfaction ratings and reviews
• Response time metrics
• Case outcome tracking (where appropriate)
• Complaint resolution records
• Peer reviews and quality assessments

5.3 Verification Badges

Lawyers may earn verification badges based on their standing:

6. Intellectual Property and Content

You retain ownership of original legal documents, opinions, and content you create for clients. However, by using the Platform:

• You grant JusticeSure a license to use anonymized case data for AI training and platform improvement
• Public profile information may be displayed in lawyer directories and search results
• Template documents created using Platform tools may be used to improve template libraries
• Client communications remain confidential and are not accessed by JusticeSure

JusticeSure's AI tools, templates, and platform features remain the intellectual property of JusticeSure and may not be copied, reproduced, or distributed outside the Platform.

7. Liability, Insurance, and Indemnification

7.1 Professional Liability

You acknowledge and agree that:

• You are solely responsible for the legal advice and services you provide to clients
• JusticeSure is a technology platform facilitating connections between lawyers and clients
• JusticeSure does not supervise, direct, or control your legal practice
• You maintain an independent solicitor-client relationship with your clients

7.2 Insurance Requirements

You must maintain professional indemnity insurance with minimum coverage of:

• ₦50,000,000 per claim (or equivalent)
• Coverage for professional negligence, errors, and omissions
• Current and valid policy throughout your Platform membership

7.3 Indemnification

You agree to indemnify, defend, and hold harmless JusticeSure, its directors, officers, employees, and agents from any claims, damages, losses, or expenses arising from: (a) your legal services; (b) breach of this Agreement; (c) violation of professional rules; or (d) your negligence or willful misconduct.

8. Dispute Resolution

8.1 Client Complaints

JusticeSure operates a client complaint resolution process:

• Initial complaints are reviewed by JusticeSure's support team
• You will be given opportunity to respond within 48 hours
• Mediation may be offered for fee or service quality disputes
• Serious complaints may be escalated to the NBA or LPDC

8.2 Platform Disputes

Disputes between you and JusticeSure shall be resolved as follows:

• Good faith negotiation for 30 days
• Mediation before a mutually agreed mediator
• Binding arbitration under the Arbitration and Conciliation Act (Cap A18, LFN 2004)
• Arbitration shall take place in Lagos, Nigeria

9. Suspension and Termination

9.1 Grounds for Suspension

Your account may be suspended for:

• Pending investigation of client complaints
• Expiry of practicing license or insurance
• Suspected violation of this Agreement
• Disciplinary proceedings by the NBA or LPDC
• Poor performance metrics below minimum standards

9.2 Termination

Either party may terminate this Agreement with 30 days written notice. JusticeSure may terminate immediately for:

• Material breach of this Agreement
• Loss of legal practicing credentials
• Criminal conviction affecting your fitness to practice
• Repeated client complaints or poor ratings
• Fraud, dishonesty, or unethical conduct

9.3 Post-Termination

Upon termination, you must: complete or properly transition all ongoing client matters; return any Platform materials or data; settle any outstanding fees; and continue to maintain client confidentiality.

10. Amendments and Updates

JusticeSure reserves the right to modify this Agreement with at least 30 days notice. Material changes will be communicated via:

• Email notification to your registered address
• Platform notification in your dashboard
• Updated version on this page

Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Agreement.

11. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Subject to the arbitration provisions above, the courts of Lagos State, Nigeria shall have exclusive jurisdiction over any disputes.

This Agreement incorporates by reference: the JusticeSure Terms of Service, Privacy Policy, and any applicable Platform policies. These documents together constitute the entire agreement between you and JusticeSure.
